These Terms and Conditions govern your use of our software development services, product engineering solutions, website, and digital products. By engaging with our services, you agree to comply with and be bound by the following terms.
Acceptance of Terms
By accessing and using the services provided by CodeNdCoffee, you agree to be bound by these Terms and Conditions. This agreement constitutes a legally binding contract between you (the "Client") and CodeNdCoffee (the "Company").
We reserve the right to update these terms at any time, and continued use of our services after changes constitutes acceptance of the new terms. Clients will be notified of significant changes.
Description of Services
CodeNdCoffee specializes in product-based software development, SaaS application development, mobile applications, enterprise solutions, cloud infrastructure management, and technical consulting for startups and established businesses.
Product Scope
Defined by discovery sessions, MVP planning, and formal proposal.
Product Support
90-day post-deployment support and optional maintenance plans.
Intellectual Property Rights
Unless otherwise specified in a written agreement, CodeNdCoffee retains all ownership rights to proprietary frameworks, code libraries, development tools, and internal products used during development. Client-specific custom code is transferred upon final payment.
"Upon final payment, the Client is granted a non-exclusive, perpetual license to use the final custom deliverables for their intended business purpose. Source code ownership is transferred as per the signed agreement."
Client Obligations
The Client is responsible for providing timely feedback, necessary assets, API documentation, and access to required systems for product development. Failure to provide requested information within agreed timelines may result in project delays and additional costs.
Limitation of Liability
In no event shall CodeNdCoffee be liable for any indirect, incidental, special, or consequential damages including loss of profits. Our total liability for any claim arising out of this agreement shall not exceed the amount paid by the Client for the specific product or service in question.
Termination of Contract
Either party may terminate the engagement with a 30-day written notice. In the event of termination, the Client shall pay CodeNdCoffee for all work performed, deliverables completed, and costs incurred up to the date of termination. All intellectual property remains with CodeNdCoffee until full payment is received.
